Our Family Charter in plain words — one page every member can hold, from Dada to the youngest grandchild.

Who we are, and what we promise

We are the family of Haji Md Jamal Uddin Bhuiyan (Dada) and Begum Hosneara (Dadi) — five sons, one daughter, and their children: three generations, from Shernagar to the world. We promise to hold together across generations, grow our common prosperity with honesty, faith and discipline, and protect every member of the house.

The 9 articles, plainly

  1. Name and Purpose — One family surname, BHUIYAN, for future documents (passport names remain valid until harmonised), and one ambition: USD 1 billion of family net worth within ten years — and, whatever the outcome, one united house.
  2. Values — Unity before individual advantage; fairness by open calculation, our sister's faraiz share honoured in full; halal enterprise; education paid first; every member's good name protected.
  3. The Family Council — Six branch seats: Mehedi, Mohammad Ali, Moula, Mustafa, Joy, Labiba — with Dada as honorary Chair and Dadi in the matriarch's seat. It meets at least quarterly; ordinary matters need a simple majority, major ones 75%.
  4. The Structure — The Bhuiyan Family Trust (Singapore law, Dada as Protector) owns Bhuiyan Holdings Pte. Ltd., which holds the family's businesses and investments.
  5. Contribution and Ownership — Every contribution — cash, assets or agreed work — is recorded in a signed Contribution Ledger, and shares are issued in proportion: the same rule for every branch. No one's property joins unless they subscribe it in writing.
  6. Exit and Disputes — A branch may exit at a fair price set by an independent valuer, shares offered first to the other branches. Disputes climb a fixed ladder — council, elders, arbitration — never straight to public court.
  7. The Next Generation — The education fund is paid first; grandchildren become beneficiaries at birth and may take council roles from age 21.
  8. Amendment — The Charter changes only by 75% of branch votes with Dada's assent (after him, the council Chair's).
  9. Moral Force — We sign as family, before Allah and each other. Where this Charter and a signed legal document differ, the legal document governs the matter — the Charter governs us.

How decisions are made

DecisionWho decides
Everyday businessThe Bhuiyan Holdings board runs day-to-day operations.
Big decisionsCouncil and shareholders — 75% for reserved matters: issuing shares, big borrowing, selling any company, deals with relatives, new business lines.
Protector's roleDada consents in writing before the trust's biggest steps — changing trustee, adding or removing beneficiaries, amending the deed.
DisputesTalk at the council → mediation by Dada and Dadi (or two elders they appoint) → binding SIAC arbitration in Singapore.

The signed original

Dada, Dadi, the five brothers and Labiba sign the Charter at Family Council #1; spouses acknowledge. The full legal text is in the Signing Pack — English Part 1 · বাংলা ১ক. This page is the plain-language mirror; where they differ, the pack prevails, and counsel will confirm the final wording before execution.
